Terms
Terms of Service
These Terms are adapted to the current Tokener CA platform.
1. Scope of the Terms
These Terms apply to all of your activity when you access, register, sign in to, or use Tokener CA and its related websites, console, APIs, model routing, billing capabilities, and supporting services.
By creating an account, clicking to agree, using the services, or continuing to access the platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree, please do not register or continue to use the services.
2. Accounts and Eligibility
You are responsible for ensuring that the registration information you provide is true, accurate, and complete, and for keeping it up to date when it changes.
You are responsible for safeguarding your account, password, API Keys, and other credentials, and for all activity that occurs through the use of those credentials.
If you use the services on behalf of a company, team, or other organization, you represent that you have the authority to accept these Terms on behalf of that entity.
3. The Services
The platform provides online services relating to Tokens, model invocation, provider onboarding, consumer onboarding, usage metrics, billing records, and related technical capabilities.
We may add, adjust, suspend, or discontinue certain features at any time based on product iteration, compliance requirements, operational arrangements, or technical limitations.
4. Acceptable Use
You must not use the services to engage in illegal, infringing, harassing, fraudulent, or malicious activity, to circumvent security controls, to distribute spam, or to engage in any other improper conduct.
You must not, without authorization, scrape, copy, decompile, interfere with, damage, or attempt to obtain sensitive information from the platform, other users, providers, or third-party systems.
You must not use the platform to process data, content, or business that is prohibited by law or regulation, and you must not violate any applicable export controls, sanctions, anti-money-laundering, or data compliance requirements.
5. Third-Party Services and Content
The platform may integrate third-party model, payment, analytics, infrastructure, or identity-verification services. Those services may be operated independently by third parties and are subject to their own terms and policies.
We make no separate guarantee as to the continued availability, accuracy, merchantability, or fitness for a particular purpose of any third-party service.
6. Fees and Settlement
Where the services involve billing, top-ups, revenue sharing, settlement, or refunds, the rules displayed on the platform at the time or otherwise separately specified will govern.
You are responsible for ensuring that your payment method is valid and for bearing the applicable fees, taxes, and charges arising from your use of the services as agreed.
Agent plan payments are non-refundable, except where required by law. If you cancel, your plan stays active until the end of the period you paid for, and you are not charged again.
7. Intellectual Property
Except as provided by law or otherwise agreed, the intellectual property rights in the platform and its interface, code, documentation, trademarks, design, data compilations, and related content belong to Tokener CA or the respective rights holders.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the services solely for lawful access and use.
8. Disclaimer
The services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we make no warranty that the services will be uninterrupted, error-free, absolutely secure, completely accurate, or fit for a particular purpose.
Model outputs, provider status, usage metrics, pricing information, and third-party content may be delayed, inaccurate, or unavailable, and you should evaluate them yourself and bear the corresponding business risk.
9. Limitation of Liability
To the maximum extent permitted by applicable law, we are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the services.
Where the law does not permit a full exclusion of liability, our aggregate liability is limited to the amount you actually paid to the platform in the twelve months preceding the event giving rise to the liability; if you have paid nothing, liability is limited to the reasonable minimum required by law.
10. Suspension and Termination
If we reasonably believe that you have violated these Terms, or that there is a security, compliance, or payment risk, or that the platform must comply with a legal requirement, we may suspend, restrict, or terminate your access to all or part of the services.
After termination, provisions that by their nature should continue to apply remain in effect, including but not limited to those on intellectual property, disclaimers, limitation of liability, and dispute resolution.
11. Changes to the Terms
We may update these Terms from time to time. The updated version takes effect upon publication, or on the effective date stated on the page.
If you continue to use the services after an update, you will be deemed to have accepted the updated Terms.
12. Contact
If you have any questions, comments, or complaints about these Terms, please contact us at [email protected].
